These Terms and Conditions (“Terms”) govern your use of https://brags.co.uk (the “Site”), operated by Brags & Partners Ltd (“Brags”, “we”, “our”, or “us”).

By using the Site, you agree to these Terms.

Brags operates an online marketplace that enables independent third-party sellers to list and sell products to customers.

2. Role of Brags (Platform Status)

Brags acts solely as an online marketplace platform.

  • We are not the seller of any products listed by third-party sellers
  • Contracts for the sale of goods are formed directly between the buyer and the seller
  • Sellers are solely responsible for product listings, fulfilment, vat and compliance

Brags acts as a facilitator and payment intermediary only.

3. User Accounts

You agree to:

  • Provide accurate and complete information
  • Maintain the security of your account credentials
  • Notify us of any unauthorised use

We reserve the right to suspend or terminate accounts where misuse or breach occurs.

4. Orders and Payments

  • All product prices are set by sellers
  • Payments are processed via third-party providers (e.g. Stripe)
  • Brags does not store full payment card details

Once an order is placed:

  • The seller is responsible for fulfilment and delivery
  • Delivery timelines are estimates only

5. Fulfilment and Delivery

Orders may be fulfilled by:

  • Sellers directly, or
  • Third-party fulfilment services, including Amazon Multi-Channel Fulfilment (MCF)

Where Amazon MCF is used:

  • Customer order data may be shared with Amazon solely for fulfilment
  • Amazon acts as an independent service provider

Brags is not responsible for delays or failures caused by third-party fulfilment providers.

6. Returns and Refunds

Returns and refunds are governed by:

  • The seller’s return policy
  • Applicable UK consumer protection laws

Brags may assist in dispute resolution but is not responsible for issuing refunds.

7. Seller Obligations

Sellers are solely responsible for:

  • Product accuracy, legality, and safety
  • Compliance with UK laws and regulations
  • Order fulfilment and customer service
  • Taxes, VAT, and regulatory obligations

Additional obligations are set out in the Seller Agreement and Seller Policy.

8. Amazon SP-API Integration

Sellers may connect their Amazon Seller accounts to Brags via Amazon’s Selling Partner API (SP-API).

By connecting:

  • Sellers authorise Brags to access seller account data (e.g. inventory, listings, order status)
  • Sellers remain fully responsible for their Amazon account and compliance with Amazon policies

Brags:

  • Uses Amazon data only to provide requested services
  • Does not access Amazon customer personal data
  • Does not use Amazon data for advertising or marketing

Access may be revoked at any time via Amazon Seller Central.

9. Data Protection

Brags acts as a data controller for personal data collected through the Site.

We process personal data in accordance with:

  • UK General Data Protection Regulation (UK GDPR)
  • The Data Protection Act 2018

10. Acceptable Use

You must not:

  • Use the Site for unlawful or fraudulent purposes
  • Upload or distribute harmful or misleading content
  • Interfere with platform functionality or security
  • Misuse data obtained through the platform

11. Intellectual Property

All intellectual property rights in the Site (excluding seller content) are owned by Brags or its licensors.

You may not reproduce or use content without permission.

12. Indemnity

You agree to indemnify and hold harmless Brags & Partners Ltd, its directors, employees, and affiliates from and against any claims, damages, losses, liabilities, costs, or expenses arising from:

  • Your use of the Site
  • Your breach of these Terms
  • Seller activities, products, or listings
  • Violations of law or third-party rights

13. Limitation of Liability

To the fullest extent permitted by law:

  • Brags is not liable for the acts or omissions of sellers or buyers
  • We do not guarantee product quality, availability, or accuracy
  • We are not liable for indirect, incidental, or consequential losses

Our total liability shall not exceed the amount paid by you to Brags in the preceding 3 months.

Nothing in these Terms excludes liability where unlawful.

14. Service Availability

We do not guarantee uninterrupted access to the Site.

We may suspend or modify services at any time for maintenance, updates, or operational reasons.

15. Suspension and Termination

We may suspend or terminate access to the Site where:

  • These Terms are breached
  • Required by law
  • Necessary to protect users or the platform

16. Third-Party Services

The Site may integrate with third-party services (including Amazon and payment providers).

Brags is not responsible for:

  • Third-party service availability
  • Data handling by third parties
  • Losses caused by third-party services

17. Changes to These Terms

We may update these Terms at any time. Continued use of the Site constitutes acceptance of the updated Terms.

18. Governing Law

These Terms are governed by the laws of England and Wales.
